INDIEBLOOM TERMS OF SERVICE
Welcome to IndieBloom, a platform operated by Rare Signal Co. ("Rare Signal," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the IndieBloom website, applications, tools, and related services (collectively, the "Service"). Please read them carefully. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement and have the legal capacity to enter into these Terms.
3. Accounts and Registration
To use most features you must create an account. You agree to provide accurate and complete information and to keep it current. You are responsible for safeguarding your account credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.
4. Description of the Service
IndieBloom provides tools to help independent artists manage and grow their music careers, which may include profile and press-kit tools, contact and networking tools, contract and document tools, social and marketing tools, storefront features, and AI-assisted features. The Service is under active development, and features may change over time.
5. Subscriptions, Billing, and Payments
The Service offers free and paid subscription tiers (currently Bloom Listener, Bloom Pro, and Bloom Label) and may offer credits or other paid features. Paid plans are billed in advance on a recurring basis (for example, monthly) and automatically renew until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal. Prices may change, and we will give notice of material changes. Except where required by law or expressly stated, payments are non-refundable and partial periods are not prorated. 6. Your Content and Your Responsibility to Back Up
You keep ownership of the contacts, files, and other information you add to IndieBloom ("Your Content"). You are responsible for maintaining your own independent copies of Your Content. IndieBloom provides export tools (such as CSV download) as a convenience so you can keep your own backups, and we recommend you export and save a copy on a regular basis (for example, monthly). We are not responsible for any loss, deletion, corruption, or inaccessibility of Your Content, and you agree that keeping current backups is your responsibility and not ours.
7. License You Grant to Us
You retain ownership of Your Content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, display, and process Your Content solely as needed to operate, maintain, secure, and improve the Service and to provide it to you. This license ends when you delete Your Content or close your account, except for content retained in routine backups or as required by law, and except for any content you have shared with others that they retain.
8. Acceptable Use
You agree not to use the Service to: violate any law or the rights of others; upload or share content that is unlawful, infringing, defamatory, harassing, or harmful; gain unauthorized access to any system or data; interfere with or disrupt the Service; misuse AI features to generate unlawful or deceptive content; or scrape, resell, or exploit the Service without authorization. We may remove content or suspend accounts that violate these Terms.
9. Contacts and Third-Party Personal Information
Some features let you store information about other people (for example, business-card contacts in Goaladex). You are responsible for ensuring you have any necessary rights or consent to collect, store, and use that information, and for using it in compliance with applicable privacy and anti-spam laws. You will not use the Service to store or process others' personal information for unlawful purposes.
10. AI-Generated Content
IndieBloom uses artificial intelligence to generate outputs such as contact details read from images, suggested matches, written drafts, and recommendations. These outputs may be inaccurate, incomplete, or unsuitable for your situation, and they are provided for informational purposes only. You are responsible for reviewing and verifying any AI output before relying on it. AI outputs are not legal, financial, business, or other professional advice.
11. Intellectual Property
The Service, including its software, design, text, graphics, logos, and trademarks (excluding Your Content), is owned by Rare Signal or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service except as permitted by law.
12. Copyright and DMCA
We respect intellectual-property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (DMCA) and similar laws. If you believe content on the Service infringes your copyright, send a notice with the required information to [DMCA agent contact / email]. We may remove infringing content and terminate repeat infringers.
13. Service Availability
We provide the Service on a reasonable-efforts basis and do not guarantee that it will be available, uninterrupted, timely, secure, or error-free. We may add, change, suspend, or remove features, or limit or discontinue the Service or your access to it, at any time.
14. Disclaimer of Warranties ("As Is")
The Service, including all tools, AI features, and content made available through it, is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and any warranty that the Service will be secure, uninterrupted, or free from data loss. You use the Service at your own risk.
15. Limitation of Liability
To the maximum extent permitted by law, in no event will Rare Signal Co., its owners, or its affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, business, or goodwill, arising out of or relating to your use of or inability to use the Service, including any data that is lost, deleted, exposed, or made unavailable through a security incident, downtime, or otherwise, even if we have been advised of the possibility of such damages. Our total liability for all claims relating to the Service will not exceed the greater of (a) the total amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
16. Indemnification
You agree to indemnify and hold harmless Rare Signal and its owners and affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right.
17. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms or to comply with law. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive termination. Before terminating, you should export any content you wish to keep.
18. Changes to the Service and These Terms
We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will provide notice (for example, by posting the updated Terms with a new "Last updated" date or by other reasonable means). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
19. Governing Law and Disputes
